Belgium's Tessenderlo takes 20% stake in U.S. agricultural giant FMC
The Belgian industrial group has completed a $403.2 million investment in Philadelphia-based FMC, securing a 20% stake and board representation rights.

A Belgian industrial group just became the 20% owner of a major American agricultural sciences company. Tessenderlo Group has completed a $403.2 million investment in Philadelphia-based FMC Corporation, turning the Belgian company into one of FMC's most significant shareholders.
The transaction closed on September 23 after receiving the required regulatory approvals. Tessenderlo purchased 30,319,166 newly issued FMC shares at $13.30 each for an aggregate purchase price of $403,244,907.80. Including shares Tessenderlo already owned, the Belgian group now controls approximately 20% of FMC's outstanding common stock.
This isn't a passive $403 million investment
Tessenderlo's investment comes with governance rights that give the Belgian group a meaningful position alongside its equity stake. Under the agreement, Tessenderlo has the right to nominate one independent director to FMC's board and has nominated its own CEO, Luc Tack.
The investment agreement also provides Tessenderlo with board-observer rights in certain circumstances and rights designed to allow it to maintain its ownership percentage in future equity issuances, subject to the terms and ownership limits established in the agreement.
Tessenderlo is also subject to customary standstill restrictions while it owns FMC shares and a three-year lock-up period, reinforcing the strategic and long-term nature of the investment.
Why Tessenderlo wants 20% of FMC
Tessenderlo describes the deal as part of its strategy of making cornerstone minority investments in high-quality companies. FMC gives the Belgian group exposure to a global agricultural sciences business with crop-protection products spanning herbicides, insecticides, fungicides, biologicals, crop nutrition and precision agriculture.

For Tessenderlo, the transaction expands its agricultural platform without requiring a full acquisition. The Belgian company gets a substantial economic interest in FMC and a route into its governance while FMC continues to operate as an independent publicly traded company.
FMC gets $403 million to strengthen its balance sheet
The transaction is also significant for FMC. When the agreement was announced in June, the Philadelphia company said it intended to use the proceeds to reduce debt and help reach an approximately $1 billion debt-paydown target.
The investment followed a strategic review launched by FMC's board earlier in 2026. That review considered multiple options, including a potential sale of the company. The Tessenderlo transaction concluded that process, with FMC remaining independent and focused on its existing operational strategy.
A Belgian industrial bet on corporate America
For Scaling in America, the scale is what makes this transaction stand out. This is not a Belgian company opening a small American sales office or testing the market. Tessenderlo has deployed more than $400 million to acquire approximately one-fifth of a New York Stock Exchange-listed American company headquartered in Philadelphia.
It is a different form of European expansion into America: using the U.S. public markets to build a strategic position in an established American business. With a 20% stake and governance rights attached to the investment, Tessenderlo now has a significant economic interest in FMC's next chapter.
